Terms and Conditions of Photo Usage License # ______________________

RobRose Net, Inc. guarantees that they own the copyrights to all images covered by this agreement. They further guarantee that all models were at least eighteen (18) years of age when photographed, have signed a model release and provided proof of age.

For the purposes of this agreement, "images" will refer to any and all electronic versions of photographs distributed in any manner, including but not limited to, CD-Rom Media, Floppy Disk Media, and Electronic Distribution including Electronic Mail and Downloading from any Website owned and/or operated by RobRose Net and/or their assigns.

These images were created after July 3, 1995 and comply with Title 18 U.S.C. § 2257 and associated regulations. Required records are kept by RobRose Net, Inc. and are available for inspection by appropiate authorities during normal business hours at RD2 - Box 546, Scottsville, VA USA - Custodian of Records, R.Jenkins

The Licensee, __________________ , is hereby granted a nonexclusive, nontransferable license ("License") to display the images listed, in perpetuity, on their web site.

The terms and conditions ("Terms") of this License are as follows:

1. Ownership:
RobRose Net, Inc. shall maintain full ownership and control of all copyrights for the images and any modified versions thereof.

2. Limitations of Use:

2.1. The Licensee MAY use the images on up to five (5) web sites where they hold controling ownership.
2.1.1 Ownership is determined by InterNIC records or in the case of joint ownership, any site where they receive 50% or more of the proceeds.

2.1.2 Sites owned by three or more persons should apply for License in a company name.

2.2. Licensee MAY NOT post these pictures to newsgroups.

2.3. Images MAY be cropped or resized, however, unless the condition in 2.3.1 is met, one of the two following notices should appear in a size that allows for easy readability and the content of the picture must remain intact (no cutouts)

2.3.1. If the optional usage rights have been purchased and your usage agreement starts with the letter "N" you may omit the copyright notice. You may also dissect the picture for the use as advertising (banners) on
other sites and/or graphics (buttons, cutouts) on your site. All other conditions remain in effect.

2.3.2 Small samples (thumbnails) are not required to display the copyright notice if they are linked to a larger version of the same image (or a web page containing same) where the copyright notice is displayed.

2.4. You MAY add your URL, phone sex numbers, etc. to images used on your site. You MAY NOT claim authorship.

2.5. Licensee MAY NOT sell these images or the right to view them except by means of membership to a private site or access via an adult verification system.

2.6. Licensee MAY NOT distribute these images in any printed form.

3.1 The Licensee agrees to maintain accountability of image use by one of the two following methods:
3.1.1 Always using the original file name.

3.1.2. Maintain records that allow the timely determination of the original filename by reference to current filename.

3.2 Upon request, the Licensee agrees to provide the license agreement number that grants the rights to use any given image. This number may be found at the top of this usage license.

RobRose Net, Inc. distributes these images AS IS and makes no claim of suitability of use for any particular web site. The Licensee assumes sole responsibility for the use of these images in any given locale and will hold Robrose Net harmless for their use where it would violate local law, ordinance or community standards.

5. Viewing Forbidden by Minors

Licensee agrees to take any needed precautions to prevent access to, or viewing of, these images by minors or others that may be restricted by law from viewing photos of a sexual nature.

6. Governing Law:

This License shall be governed by, and construed in accordance with the laws of the United States and the Commonwealth of Virginia. If for any reason a court of competent jurisdiction finds any provision of this License, or portion thereof, to be unenforceable, that provision of the License shall be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of this License shall continue in full force and effect.

7. No Waiver or Assignment:

No delay or failure to take action under this License will constitute a waiver unless expressly waived in writing, signed by a duly authorized representative of RobRose Net, and no single waiver will constitute a continuing or subsequent waiver. This License may not be assigned, sublicensed or otherwise transferred by Licensee without the prior written consent of RobRose Net.

8. Entire Agreement:

This License constitutes the entire agreement between the parties with respect to the use of the listed intellectual property. Any prior understanding, written or oral, shall not be binding on either party except to the extent that it has been incorporated into this Liscense. No amendment to or modification of this License will be binding unless in writing and signed by a duly authorized representative of RobRose Net.
